Important Update – BVI Statutory Filing Requirements & Extension

The British Virgin Islands Financial Services Commission (BVI FSC) has announced updates regarding statutory filing obligations. Please review the key highlights below:
Temporary Suspension of Fees and Penalties
For companies and limited partnerships incorporated before 2 January 2025, filings submitted by 31 March 2026 will not incur filing fees or late penalties.
This applies to:
• Register of Members (ROM)
• Register of General Partners (ROGP)
· Register of Limited Partners (ROLP)
• Beneficial Ownership (BO) information
Note: The waiver does not remove the legal obligation to file; enforcement resumes on 1 April 2026.
Entities Currently "in Penalty"
Even if your entity is "in penalty", filings completed within the grace period will not attract penalties or additional fees. However, certificates of good standing and certain status confirmations may remain unavailable until the requisite filings are made.
Enforcement Resumes After 1 April 2026
From 1 April 2026, filing fees and late filing penalties for ROM, ROGP, ROLP, and BO will be reinstated.
Action Required
We strongly recommend completing all pending filings as soon as possible to avoid future penalties.
